Frequently Asked Questions
Answers to the most common questions about setting up and running a business in the Kingdom of Bahrain.
Getting Started
Yes. Since the 2022 Commercial Companies Law reforms, foreign investors can own 100% of a Bahraini company across most sectors — no local partner or sponsor is required for WLL, SPC, and branch structures.
A Commercial Registration can be issued through Sijilat in 1–3 business days once documents are ready. The full setup, including bank account and visas, typically takes 2–4 weeks.
Usually passport copies of shareholders and directors, a description of your activities, proposed company names, and proof of address. We tell you exactly what is required for your structure.
Entities & Licensing
A WLL (With Limited Liability) requires 2 or more shareholders and suits SMEs and partnerships. An SPC (Single Person Company) has one shareholder and is ideal for solo founders. Both offer limited liability, 100% foreign ownership, and no minimum capital.
There is no minimum capital for a WLL or SPC since the 2018 amendments. Capital is declared in your MOA based on your needs. Some regulated activities (e.g. banking, insurance) have specific thresholds.
Yes. Activities can be added at any time through a CR amendment, subject to any conditions or external approvals for the new activity. We handle the amendment process.
Tax & Compliance
Bahrain has 0% personal income tax, 0% corporate tax for most businesses, and no capital gains tax. A 10% VAT applies to goods and services. Large multinational groups may be subject to the 15% Domestic Minimum Top-up Tax (DMTT) under Pillar Two.
VAT registration is mandatory once your taxable turnover exceeds the registration threshold, and voluntary below it. We advise on your obligations and handle registration and filing.
Typically annual CR renewal, UBO registration, GOSI contributions, and any sector-specific filings. We offer compliance retainers to manage these for you.
Visas & Banking
Yes. As a company owner you can self-sponsor an investor residence visa and sponsor visas for employees and dependants. Bahrain also offers a 10-year Golden Residency for qualifying investors.
With a complete KYC pack and the right bank, accounts are typically opened within 5–10 business days. We match you to suitable banks and prepare your documentation.
No advisor can guarantee a bank's decision, as it rests with the bank's compliance team. However, our bank-matching and complete documentation significantly improve your chances.
